使用 ZovaX IDE（含 ZovaX-Code / ZovaX IDE）前请阅读本协议。安装、启动或实际使用即表示您同意本协议及《隐私政策》。

1. 服务说明
本产品提供基于 Code-OSS 的编辑器壳，以及 ZovaX 专有的 AI Agent、MCP、Computer Use、账号与设备授权等高级能力（以实际开通功能为准）。
2. 订阅许可（非买断）
- 付费套餐（例如约 $9.9/月 或年付等价方案，以结账页为准）授予有限期、非独占、不可转让、可撤销的高级功能使用权。
- 这是订阅期内的软件使用权，不是高级 Agent 功能的永久买断许可。
- 订阅到期或取消后：AI Agent、MCP 高级工具、Computer Use 等付费能力将被锁定；基于 Code-OSS 的基础编辑（打开/编辑/保存文件）仍可使用。
- 免费档 / 试用（含可能的 7 日试用）受同等约束，且可能调整或终止。
3. 开源编辑器 vs 专有 Agent
- 编辑器壳基于 Microsoft Code-OSS，适用 MIT 等开源许可（见安装包
ThirdPartyNotices.txt）。 - ZovaX Agent、MCP 调度、定制 UI 等模块为专有软件，仅按本 EULA 授权，不按 MIT 开源。
4. BYOK（自备 API Key）— 订阅不含大模型 Token
- 订阅费用覆盖 ZovaX 客户端 / Agent 运行时使用权，默认不包含第三方大模型（OpenAI、Anthropic、国内云厂商等）的 Token / 推理费用。
- 您需自备 API Key（BYOK）或使用我们另行标明已含额度的云端套餐；密钥由您保管，相关费用由对应模型服务商向您收取。
- 若套餐明确含云端额度，额度耗尽后仍可切换 BYOK 或升级/充值。
5. 账号与可接受使用
- 您应提供真实、准确的注册信息并妥善保管凭据；账号仅限本人使用，您对账号下行为负责。
- 禁止违法、侵权、攻击基础设施、传播恶意代码、逆向破解专有模块或滥用 API/遥测接口。
- 我们有权暂停或终止违规账号与订阅权益。
6. 知识产权
您保留对代码与上传内容的所有权；为提供服务，您授予我们在必要范围内处理该内容的有限许可。ZovaX 商标与专有代码归 ZovaX AI Inc. 或其许可方所有。
7. AI 免责声明
AI 输出按「现状」提供，仅供参考，不构成法律、医疗、金融或专业建议；不担保正确、完整或适合特定用途。 在法律允许范围内，我们对间接、附带或后果性损失不承担责任；具体以您所在司法辖区强制性规定为准。
8. 终止与注销
您可随时停止使用并依《隐私政策》申请注销；注销后我们将按政策删除或匿名化数据。订阅终止不影响您对本地工作区文件的所有权。
9. 其他
本协议与《隐私政策》冲突时，以对用户更有利的条款为准（强制性法律除外）。重大变更将通过网站或产品内提示。
End User License Agreement (EULA)
Please read this agreement before using ZovaX IDE (including ZovaX-Code / ZovaX IDE).
Installing, launching, or using the Software means you agree to this EULA and the Privacy Policy.

1. Service description
The product provides a Code-OSS based editor shell plus ZovaX proprietary capabilities such as AI Agent, MCP, Computer Use, and account/device authorization (subject to what you actually enable).
2. Subscription license (not a buyout)
- Paid plans (e.g. about $9.9/month or an annual equivalent at checkout) grant a limited, non-exclusive, non-transferable, revocable right to use advanced features during an active term.
- This is a time-limited software usage right — not a perpetual buyout of advanced Agent features.
- When the subscription expires or is cancelled: AI Agent, advanced MCP tools, Computer Use and related paid capabilities lock; the Code-OSS based editor remains usable for basic open/edit/save.
- Free tiers / trials (including any 7-day trial) follow the same rules and may change or end.
3. Open-source editor vs proprietary Agent
- The editor shell is based on Microsoft Code-OSS under MIT and related notices (see
ThirdPartyNotices.txt). - ZovaX Agent, MCP orchestration, custom UI and related modules are proprietary and licensed only under this EULA — not MIT.
4. BYOK — subscription does not include LLM tokens
- Subscription fees cover the ZovaX client / Agent runtime right and do not include by default third-party LLM tokens / inference (OpenAI, Anthropic, regional cloud providers, etc.).
- Bring your own API key (BYOK) or choose a plan that expressly includes cloud quota; you keep the keys; model providers bill you directly.
- If a plan includes cloud quota, after it is exhausted you may switch to BYOK or upgrade/top up.
5. Accounts and acceptable use
- Provide accurate registration information and keep credentials safe; you are responsible for activity under your account.
- No unlawful use, infringement, infrastructure attacks, malware, reverse engineering of proprietary modules, or abuse of APIs/telemetry.
- We may suspend or terminate accounts and subscription benefits for violations.
6. Intellectual property
You retain ownership of your code and uploads; you grant us a limited license to process that content as needed to provide the service. ZovaX marks and proprietary code belong to ZovaX AI Inc. or its licensors.
7. AI disclaimer
AI output is provided as is for reference only and is not legal, medical, financial, or other professional advice. No warranty of correctness, completeness, or fitness for a particular purpose. To the extent permitted by law we are not liable for indirect or consequential damages; mandatory local law prevails where applicable.
8. Termination
You may stop using the product and request account deletion under the Privacy Policy. Ending a subscription does not affect ownership of your local workspace files.
9. Other
If this EULA conflicts with the Privacy Policy, the term more favorable to the user applies (except where mandatory law says otherwise). Material changes will be announced on the website or in-product.
